3. CLARIFICATION OF TERMS
For the purpose of these Terms & Conditions, the following definitions apply:

* “User,” “you,” “your”: Refers to any individual or entity accessing, Browse, registering on, or using the Site, including but not limited to customers, visitors, and authorized representatives of organizations.
* “Site”: Refers to the website i.e. (website link)
* “Products”: Refers to all biotechnology products, research reagents, diagnostic kits, laboratory consumables, and any other physical goods offered for sale by BIOZENESYS through the Site.
* “Services”: Refers to any non-physical offerings provided by BIOZENESYS through the Site, including but not limited to consultation services, technical support, educational resources, custom synthesis services, and any other service-based offerings.
* “Content”: Refers to all text, graphics, images, audio, video, software, data, information, trademarks, service marks, and other material displayed on, transmitted through, or otherwise available on the Site.

4.3 PROHIBITED USES
You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:

Our products are generally intended for research, diagnostic, or specific application use as specified, not for re-packaging and re-sale without proper licensing and agreements.
i. Misrepresentation: Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
j. Unauthorized Access: Attempting to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any BIOZENESYS server, or to any of the services offered on or through the Site, by hacking, password “mining,” or any other illegitimate means.
k. Circumvention: Probing, scanning, or testing the vulnerability of the Site or any network connected to the Site, nor breaching the security or authentication measures on the Site or any network connected to the Site.
4.4 USER-GENERATED CONTENT
a. If the Site allows you to post reviews, comments, feedback, or other content (“User Content”), you grant BIOZENESYS a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.
b. You represent and warrant that you own or otherwise control all the rights to the User Content that you post; that the User Content is accurate; that use of the User Content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify BIOZENESYS for all claims resulting from User Content you supply.
c. BIOZENESYS has the right, but not the obligation, to monitor, edit, or remove any User Content. We take no responsibility and assume no liability for any User Content posted by you or any third party.
5. PRODUCTS AND SERVICES
5.1 PRODUCT DESCRIPTIONS AND AVAILABILITY
a. BIOZENESYS strives to provide accurate descriptions, images, and pricing for all Products and Services on the Site. However, we do not warrant that product descriptions or other content of this Site are accurate, complete, reliable, current, or error-free. If a Product offered by BIOZENESYS itself is not as described, your sole remedy is to return it in unused condition, subject to our Refund Policy.
b. All Products and Services are subject to availability. We reserve the right to limit the sales of our Products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to discontinue any Product at any time.

5.2 PRICING AND PAYMENT
a. All prices displayed on the Site are in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (such as GST), shipping charges, and any other duties or fees, which will be added to your total order amount during checkout.
b. We accept various payment methods as indicated on the Site. You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
c. In the event a Product or Service is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, we shall have the right to refuse or cancel any orders placed for Product or Service listed at the incorrect price.
5.3 ORDER ACCEPTANCE AND CANCELLATION
a. Your placement of an order does not necessarily mean that we accept your order. We reserve the right to accept or decline your order for any reason or no reason. We may require verification of information prior to the acceptance and/or shipment of any order.
b. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
5.4 SHIPPING AND DELIVERY
a. BIOZENESYS will arrange for shipping of Products to the address specified in your order. Shipping times and costs will vary depending on the destination and shipping method chosen. Specific details regarding shipping will be provided during the checkout process.
b. Title and risk of loss for Products pass to you upon our delivery to the carrier. We are not responsible for any delays in shipping or delivery caused by the carrier or unforeseen circumstances.
c. It is your responsibility to ensure the accuracy of the shipping address provided. BIOZENESYS will not be liable for any losses incurred due to incorrect or incomplete shipping information provided by you.
5.5 USE OF BIOTECHNOLOGY PRODUCTS
a. FOR RESEARCH USE ONLY (RUO) / IN-VITRO DIAGNOSTIC (IVD): Many of our Products are intended “For Research Use Only” (RUO) or for “In-Vitro Diagnostic Use” (IVD). The intended use for each Product is clearly specified on its product page and/or accompanying documentation (e.g., Certificate of Analysis, Product Insert, Material Safety Data Sheet). You acknowledge and agree to use our Products strictly in accordance with their specified intended use.
b. NO THERAPEUTIC OR CLINICAL USE (UNLESS SPECIFIED): Unless explicitly stated otherwise and accompanied by appropriate regulatory approvals, BIOZENESYS Products are not intended for direct human therapeutic, diagnostic, or clinical use, nor for direct administration to humans or animals. You assume all responsibility for any such unauthorized use.
c. QUALIFIED PERSONNEL: Our Products are intended for use by qualified and trained scientific, medical, or laboratory professionals, or under the direct supervision of such professionals. You represent that you possess the necessary expertise and equipment to safely and correctly handle and utilize our Products.
d. SAFETY DATA SHEETS (MSDS/SDS): You acknowledge that you have read and understand the Material Safety Data Sheets (MSDS) or Safety Data Sheets (SDS) provided for each Product, where applicable. You agree to follow all safety precautions, handling instructions, and waste disposal guidelines specified in the MSDS/SDS and Product documentation.
e. REGULATORY COMPLIANCE: You are solely responsible for ensuring that your use of our Products complies with all applicable local, national, and international laws, regulations, and institutional policies, including those pertaining to biosafety, ethical conduct of research, and the handling of biological materials.
f. NO WARRANTY FOR UNINTENDED USE: BIOZENESYS provides no warranty, express or implied, for the fitness of its Products for any unintended use, or for any use not specifically recommended by BIOZENESYS.
6. INTELLECTUAL PROPERTY RIGHTS
a. All Content on the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of BIOZENESYS or its content suppliers and protected by Indian and international copyright, trademark, and other intellectual property laws.
b. The BIOZENESYS name, the BIOZENESYS logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BIOZENESYS or its affiliates or licensors. You must not use such marks without the prior written permission of BIOZENESYS.
c. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content on our Site, except as generally and ordinarily permitted through the Site’s functionality.
7. DISCLAIMER OF WARRANTIES
a. THE SITE, ITS CONTENT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

c. NEITHER BIOZENESYS NOR ANY PERSON ASSOCIATED WITH BIOZENESYS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.
d. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
8. LIMITATION OF LIABILITY
a. IN NO EVENT SHALL BIOZENESYS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE, OR THE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF BIOZENESYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOZENESYS’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, PRODUCTS, OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BIOZENESYS FOR THE SPECIFIC PRODUCT(S) OR SERVICE(S) GIVING RISE TO THE LIABILITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
c. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless BIOZENESYS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Content, any use of the Site’s content, products, and services other than as expressly authorized in these Terms, or your use of any information obtained from the Site.
10. GOVERNING LAW AND JURISDICTION
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the courts located in Bareilly, Uttar Pradesh, India, and you irrevocably consent to the jurisdiction of such courts.
11. SEVERABILITY
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
